General terms and conditions

The following general terms and conditions were composed specifically for translation services. By concluding a contract the following general terms and conditions are considered as accepted.

§ 1 Scope of application

The present terms and conditions apply to all contracts concluded between myself, Miriam Schmid (translator) and my clients (ordering party)if nothing else was expressly agreed on or prescribed by law. My clients’ general terms and conditions are only binding for me if I have expressly agreed to them in writing.

§ 2 The translator’s service, the client’s duty to cooperate

1. The translation will be completed as quickly and accurately as possible. The client obtains a copy of the translation.

2. Documents and information necessary to complete the translation must be placed at my disposal on time. Otherwise, any errors resulting from this omission are not at the expense of the translator.

3. If the client wants a particular terminology to be used, he or she must specify this from the beginning.

4. I reserve myself the right to contact the client in case of any ambiguities in the original text. But I also have the right in such a case to translate to the best of my knowledge without consulting the client.

§ 3 Confidentiality

All texts will be treated with the utmost discretion and not disclosed to third parties. I commit to observe secrecy regarding all facts which become known to me during my work as a translator.

§ 4 Remuneration

1. Prices can be agreed on per word, per line or in a lump sum. A standard line comprises 55 characters including spaces. Proofreading is remunerated on the basis of the expenditure of time.

2. Offers can be made on demand. After viewing the text and considering any special requests by the client an estimate can be given. Unless a lump sum payment has been agreed on, the final price can only be calculated on the basis of the translation once it is finished.

3. For very large assignments an advance payment or payment in installments can be requested.

4. Particularly urgent assignments requiring overtime or working nights, Sundays and Public Holidays are remunerated accordingly as agreed on.

5. Has no remuneration been agreed on, a reasonable and fair remuneration shall be paid on the basis of the scale of fees compiled by the BDÜ (German association for interpreters and translators).

§ 5 Text classification

A text must be examined in detail in order to assess its level of difficulty and the time needed to translate it. This assessment is at the discretion of the translator. General texts are all texts containing mainly normal language and only few technical terms. Difficult or specialized texts are technical texts or texts which are generally difficult, containing long sentences and/or many technical terms, e.g. manuals, contracts, business and project reports, sophisticated business correspondence and advertising material.

§ 6 Assignments and deadlines

1. When placing an order per e-mail it must become clear that the client has concluded a contract with the translator and the translator must make it clear that he is taking up the assignment.

2. Deadlines become binding as soon as the translator has confirmed them in writing. Should the translator not be able to meet the deadline, the client must grant a reasonable extension of time. After this extension the client can withdraw from the contract if the translation has not been forwarded yet.

§ 7 Cancellation of a translation contract

If the client cancels a contract, any translated parts are made available to the client and the client will be charged for them. The translator reserves the right to make claims for any possible further damage.

§ 8 Complaints

1. Any problems must first be discussed in order to find an amicable solution.

2. If the translation contains any errors, the client is entitled to demand that these errors be removed. The client must make specific and detailed descriptions of the errors. This complaint must be made in writing within 2 weeks of having received the finished translation, otherwise the translation is considered without defect. Further claims are excluded if the translator is not given the possibility to correct the translation within a reasonable lapse of time (§ 633 BGB/ German Civil Code). If after the correction the translation is still unsuitable for its planned use and this can be suitably proven, the client has the right to reduce the fees or change the contract.

3. Any further claims by the client or claims by third parties vis-à-vis the translator are not admissible.

§ 9 Liability

1. Any liability is limited to the value of the assignment in question. Corrections made by third parties release me from my liability and I cannot be charged for them. Liability claims expire six months after delivery date (§ 638 BGB). I assume no liability for translation errors caused by incorrect or incomplete information or inaccurate texts provided by the client.

2. In any case the translator is only liable in the event of gross negligence and intent; slight negligence is only subject to liability in the event of violation of contractual obligations. Claims by third parties vis-à-vis the translator are not admissible.

3. The translator is not liable for translation errors caused by incorrect, incomplete or delayed information or documents provided by the client or by inaccurate or illegible source texts.

4. The translator is not liable for damage or loss during dispatch.

5. If a deadline cannot be met due to a power cut, a breakdown of telecommunication services, defective data sets provided by the client or a sudden illness / accident of the translator, the translator is not liable for the delay. In case of force majeure (e.g. strike, revolt, natural disasters) and other obstacles the translator is not responsible for, the translator is entitled to withdraw from the contract or to demand a reasonable extension of the deadline. In the event of a withdrawal of one of the parties all translation work completed up to then must be paid.

§ 10 Dispatch

The client decides on the medium and dispatch method used for the delivery of the translation. The translation can be sent via e-mail if the client so wishes. Any costs for express delivery are at the charge of the client. In the case of delivery by mail, the client takes the risk for any loss or damage.

§ 11 Reservation of proprietary rights and copyright

1. Should a claim be made on the translator because of a translation violating an existing copyright or should third party claims be asserted, the client must discharge the translator of these claims entirely.

2. The translation remains the property of the translation until full payment.

3. The translator reserves the copyright of the translation (§ 3 UrhG/German Law on Copyright).

§ 12 Conditions of payment

1. The translator’s fees are payable at the latest 30 days after invoicing. Generally, no reductions are granted.

2. Different payment deadlines can be agreed on in individual cases. For very large assignments the translator can ask for payment in installments, payable for different parts of the translation to be delivered as agreed.

§ 13 Other regulations

1. Disagreements concerning an assignment, its realization, possible defects, resulting claims or other aspects of the contractual relationships, are subject to the law of the Federal Republic of Germany.

2. Should any of the preceding contractual conditions be or become null and void or ineffective, this does not affect the properties of the other terms and conditions. In such a case, the conditions in question are to be replaced by other regulations coming as close to the old ones as possible.

3. Place of performance and place of jurisdiction for both parties – insofar as it is legally admissible – the translator’s business location.
